Terms and Conditions

1. Definitions
"SHIP2USA": Refers to KTC Logistics Company LLC, operating under the trade name "SHIP2USA."
"Client": Refers to the individual or entity engaging SHIP2USA for logistics services.
"Services": Refers to the logistics, warehousing, transportation, and other related services provided by SHIP2USA.
"Contract": Refers to these Terms and Conditions, together with any additional agreements or documents that may be part of the service agreement.

2. Scope of Services
SHIP2USA provides logistics services including transportation, warehousing, order fulfillment, inventory management, and related services as detailed in the service agreement.
SHIP2USA will perform these services in accordance with industry standards and any specific instructions provided by the Client.

3. Service Fees and Payment Terms
Fees: Service fees are outlined in the service agreement or rate schedule provided to the Client.
Payment Terms: Payments are due [immediately after delivery]. Late payments may incur a [10%] per month.
Invoices: SHIP2USA will issue invoices detailing the services provided and associated costs. The Client must review and notify SHIP2USA of any discrepancies within [30] days.

4. Client Responsibilities
The Client must provide accurate and timely information necessary for SHIP2USA to perform the services.
Goods must be properly packed, labeled, and compliant with all applicable regulations.
The Client is responsible for ensuring timely delivery of goods to SHIP2USA facilities and adherence to agreed-upon schedules.

5. SHIP2USA Responsibilities
SHIP2USA will deliver services in a professional manner and in accordance with the terms of the service agreement.
SHIP2USA will comply with all applicable laws and regulations in providing the services.

6. Liability and Insurance
Liability: SHIP2USA is not liable for loss, damage, or delay of goods except where caused by gross negligence or willful misconduct. Liability is limited to the extent permitted by law.
Insurance: SHIP2USA maintains insurance coverage for its operations. Clients are encouraged to obtain additional insurance for their goods as necessary.

7. Claims and Dispute Resolution
Claims: Clients must file claims for damaged or lost goods within [30] days of delivery. SHIP2USA will investigate and respond to claims in accordance with its procedures.
Dispute Resolution: Any disputes arising under this agreement will be resolved through [mediation, arbitration] in accordance with the laws of [The United States of America].

8. Force Majeure
SHIP2USA is not liable for delays or failures in performance caused by events beyond its control, including but not limited to natural disasters, war, strikes, or other force majeure events.
SHIP2USA will notify the Client of such events and will make reasonable efforts to mitigate their impact.

9. Confidentiality and Data Protection
SHIP2USA will protect the confidentiality of Client information and comply with applicable data protection laws.
SHIP2USA will not disclose Client information to third parties without Client consent, except as required by law.

10. Termination
Termination for Convenience: Either party may terminate this agreement with [30 days] written notice.
Termination for Cause: SHIP2USA or the Client may terminate the agreement immediately for cause if the other party breaches material terms of the agreement and fails to remedy such breach within [30] days of notice.

11. Governing Law and Jurisdiction
This agreement is governed by and construed in accordance with the laws of [the state of Michigan].
Any legal actions arising under this agreement will be conducted in the courts located in [the state of Michigan].

12. Amendments and Waivers
Any amendments to these terms must be made in writing and signed by both parties.
No waiver of any provision of this agreement shall be deemed a waiver of any other provision or a continuing waiver.

13. Miscellaneous
Severability: If any provision of these terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
Entire Agreement: These terms and conditions constitute the entire agreement between SHIP2USA and the Client concerning the services and supersede any prior agreements or understandings.
